Terms of Service

Governing your use of GuardFastrack AI automation services.

Please read these Terms carefully. By engaging GuardFastrack for any service — including AI receptionist setup, website builds, or automation systems — you agree to be bound by these Terms and all applicable Louisiana state laws. If you do not agree, please do not use our services.
Louisiana Governing Law Notice: This agreement is entered into in the State of Louisiana and shall be governed exclusively by Louisiana law, including the Louisiana Civil Code, the Louisiana Unfair Trade Practices and Consumer Protection Law (R.S. 51:1401 et seq.), and all other applicable Louisiana statutes.
01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and GuardFastrack ("Company," "we," "us," or "our"), a business operating in Baton Rouge, Louisiana. These Terms govern your access to and use of all services provided by GuardFastrack.

By signing a service agreement, making a payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable Louisiana state laws and regulations.

Under Louisiana law, this agreement constitutes a valid contract when both parties have capacity to contract, have consented, have a lawful cause, and the object is certain and possible (Louisiana Civil Code Art. 1927).


02 Description of Services

GuardFastrack provides AI-powered business automation services to local businesses, including:

  • AI Receptionist Setup — Configuration and deployment of AI voice and text-based receptionist systems using Go HighLevel and third-party AI platforms
  • Website Design & Development — Creation of landing pages, websites, and sales funnels built on the Go HighLevel platform
  • Lead Follow-Up Automation — Design and implementation of automated SMS, email, and CRM workflow sequences
  • Appointment Booking Systems — Integration of AI-powered scheduling and calendar management
  • CRM Configuration — Setup and customization of Go HighLevel sub-accounts for client use
  • Ongoing Support & Maintenance — Monthly management and optimization of deployed systems

All services are subject to the specific scope outlined in your individual service agreement. GuardFastrack operates as an independent contractor, not as an employee, partner, or joint venturer of the Client under Louisiana law.


03 Client Responsibilities

As a Client of GuardFastrack operating under Louisiana law, you agree to:

  • Provide accurate information — Truthful business information required to configure your systems, in compliance with Louisiana R.S. 14:72 (false representations)
  • Designate an authorized contact — A person with legal authority to enter into binding agreements on behalf of your business
  • Respond in a timely manner — Reply to requests for review or information within 3–5 business days
  • Respect intellectual property — Ensure all content provided does not infringe third-party rights
  • Comply with applicable laws — All Louisiana and federal laws governing AI use, telecommunications, and consumer protection
  • Maintain required licenses — All required business licenses under Louisiana R.S. 37 for your specific trade or profession
  • Lawful use only — Not use GuardFastrack services for any purpose prohibited by Louisiana or federal law
  • Maintain platform subscription — Keep your own Go HighLevel subscription active for continued access after the initial setup period

04 Payment Terms & Fees

All fees are outlined in your individual service proposal. The following terms apply and are enforceable under Louisiana contract law:

  • Setup Fees — A one-time setup fee is non-refundable once work has commenced, consistent with Louisiana Civil Code Art. 2013
  • Monthly Retainer — Ongoing services are billed monthly in advance, due on the 1st of each month
  • Late Payments — Invoices unpaid after 7 days may result in service suspension. Interest may accrue under Louisiana R.S. 9:3500
  • Refunds — Due to the custom nature of services, all payments are non-refundable unless otherwise agreed in writing
  • Price Changes — GuardFastrack provides 30 days written notice of any pricing modifications to existing clients
  • Third-Party Costs — Client is responsible for Go HighLevel subscription fees, phone/SMS costs, email credits, and other third-party expenses
  • Sales Tax — Louisiana state and local sales tax will be applied where required under Louisiana R.S. 47:301 et seq.

05 Intellectual Property

Upon full payment of all applicable fees, Client owns the content (text, images, copy) they provide to GuardFastrack. GuardFastrack retains all ownership of proprietary templates, automation frameworks, workflow architectures, and system methodologies.

Client is granted a non-exclusive, non-transferable license to use deliverables for their intended business purpose. Resale or redistribution of GuardFastrack templates or systems to third parties without express written consent is prohibited and may constitute unfair trade practices under Louisiana R.S. 51:1401.

GuardFastrack may showcase anonymized project work in our portfolio unless Client requests otherwise in writing within 14 days of project completion.


06 AI Receptionist — Louisiana Compliance
Louisiana Call Recording Law — R.S. 15:1303: Louisiana is a one-party consent state for call recording. Only ONE party needs to consent. GuardFastrack strongly recommends that your AI receptionist discloses recording at the start of each call as best practice. You are solely responsible for compliance with recording laws in states where your customers may be located.
Louisiana AI Disclosure — Best Practice: GuardFastrack builds all AI systems to identify themselves as virtual assistants. Client must not modify the AI system to falsely claim to be a human representative. Doing so may constitute an unfair trade practice under Louisiana R.S. 51:1401.
TCPA & Louisiana Telecommunications Compliance: The Telephone Consumer Protection Act (47 U.S.C. 227) governs automated calling and texting. Client is solely responsible for TCPA compliance, including maintaining a Do Not Call list and obtaining proper consent for marketing messages. GuardFastrack is not liable for Client's TCPA violations.
  • AI Limitations — AI systems may not handle all caller situations perfectly. GuardFastrack does not warrant 100% accuracy or uptime
  • Emergency Calls — AI systems are not a substitute for emergency services (911). Client must ensure proper emergency escalation protocols
  • Third-Party Platforms — GuardFastrack is not liable for outages or failures of Go HighLevel, Twilio, or AI providers
  • Professional Licensing — Clients in licensed professions are responsible for ensuring AI interactions comply with Louisiana R.S. 37 licensing regulations

07 Website Ownership & Hosting
  • Websites built by GuardFastrack are hosted on the Go HighLevel platform and require an active Go HighLevel subscription maintained by Client
  • GuardFastrack is not responsible for Go HighLevel platform outages, data loss, or service modifications
  • Client is responsible for providing their own domain name. GuardFastrack assists with DNS configuration but does not purchase or hold domain ownership
  • Content backups are Client's responsibility at all times
  • Migration away from Go HighLevel is Client's responsibility; GuardFastrack assists with available exports subject to platform limitations

08 Limitation of Liability — Louisiana Civil Code

TO THE MAXIMUM EXTENT PERMITTED BY LOUISIANA LAW, GUARDFASTRACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY.

GuardFastrack's total cumulative liability for any claim shall not exceed the total fees paid by Client in the three (3) months immediately preceding the claim.

Louisiana Civil Code Art. 2004 Notice: Under Louisiana Civil Code Article 2004, a clause that excludes or limits liability for causing physical injury to a person is absolutely null. This limitation applies only to economic and commercial damages and does not limit liability for personal injury caused by gross fault or intentional misconduct.

09 Indemnification

Client agrees to indemnify, defend, and hold harmless GuardFastrack, its owners, employees, contractors, and agents from any claims, liabilities, damages, costs, and attorneys' fees arising out of:

  • Client's use of GuardFastrack services in violation of these Terms
  • Client's violation of any Louisiana state law, federal law, or local ordinance
  • Client's violation of any third-party rights, including intellectual property rights
  • Any content or information Client provides to GuardFastrack
  • Client's use of AI systems in a manner that violates the TCPA or Louisiana consumer protection laws
  • Any claims by Client's customers arising from the AI receptionist system

10 Termination

Either party may terminate the service relationship with 30 days written notice. GuardFastrack may terminate immediately for non-payment (15+ days overdue), violation of these Terms, use of services for illegal purposes, or abusive behavior toward GuardFastrack personnel.

Upon termination, Client's access to GuardFastrack-managed systems will be suspended. Pre-paid fees are non-refundable. Outstanding balances remain due and collectible under Louisiana law.


11 Governing Law — State of Louisiana

These Terms shall be governed exclusively by the laws of the State of Louisiana, including the Louisiana Civil Code, without regard to any conflict of law provisions. The parties expressly agree that Louisiana law governs all aspects of this agreement including formation, interpretation, performance, and enforcement.

Louisiana Civil Law System: Louisiana operates under a civil law system derived from the Napoleonic Code, distinct from the common law system used in other U.S. states. Key provisions applicable to this agreement include: Civil Code Art. 1927 (Formation of Contracts), Art. 1983 (Obligatory Force), Art. 1994 (Failure to Perform), and Art. 2003 (Contributory Fault).

12 Dispute Resolution — Louisiana Courts

The parties agree to attempt good-faith negotiation before pursuing formal legal action. If unresolved, any legal action shall be brought exclusively in the state courts of East Baton Rouge Parish, Louisiana, or the United States District Court for the Middle District of Louisiana.

Louisiana Arbitration Law — R.S. 9:4201 et seq.: If the parties mutually agree to arbitration in writing, such arbitration shall be governed by Louisiana Arbitration Law and shall take place in Baton Rouge, Louisiana. Either party may seek injunctive or equitable relief from a Louisiana court at any time to prevent irreparable harm.

WAIVER OF JURY TRIAL: To the extent permitted by Louisiana law, both parties waive the right to a jury trial for any dispute arising out of these Terms.


13 Louisiana Consumer Protection
Louisiana Unfair Trade Practices Act (LUTPA) — R.S. 51:1401: LUTPA prohibits unfair methods of competition and deceptive acts or practices in trade or commerce. GuardFastrack commits to honest, transparent, and non-deceptive business practices in all client interactions. Clients who believe GuardFastrack has violated LUTPA may file a complaint with the Louisiana Attorney General's Consumer Protection Section at 1-800-351-4889.
  • All pricing is disclosed clearly and in advance with no hidden fees
  • Service capabilities and limitations are disclosed honestly, including AI system limitations
  • GuardFastrack does not engage in bait-and-switch pricing or deceptive advertising practices

14 Changes to Terms

GuardFastrack reserves the right to modify these Terms at any time. We will provide at least 14 days written notice of material changes via email. Continued use of services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must provide written notice of termination before the effective date.
